A resignation letter to a board of directors is a short written notice, addressed to the board chair or secretary, that names your seat, gives the effective date and thanks the board. The constraint is the effective date: under Delaware law a director's resignation "is effective when the resignation is delivered unless the resignation specifies a later effective date", so the date you write is the date that counts. The rules quoted here come from the Delaware General Corporation Law, the California Corporations Code and the SEC's Form 8-K instructions. Before I leave, I will hand over the finance committee files to the treasurer and attend the October meeting to answer questions about the budget draft. I am happy to stay on the mailing list as a donor and volunteer.

What the law says about resigning
Most boards follow the bylaws first, so read them before you write. The state statute sits underneath.
- Delaware corporations. Section 141(b) of the Delaware General Corporation Law says: "Any director may resign at any time upon notice given in writing or by electronic transmission to the corporation." An email to the corporation counts as notice.
- The effective date. The same section adds that a resignation "is effective when the resignation is delivered unless the resignation specifies a later effective date or an effective date determined upon the happening of an event or events." Write the date you mean.
- California nonprofit public benefit corporations. Corporations Code section 5226 adds a limit: "Except upon notice to the Attorney General, no director may resign where the corporation would then be left without a duly elected director or directors in charge of its affairs." If you are the last director, talk to a lawyer before you send anything.
- Public companies. The SEC's Form 8-K instructions, Item 5.02, require the company to report a director's departure. Extra disclosure applies "If a director has resigned or refuses to stand for re-election to the board of directors" because of a disagreement, and the director gets the chance to answer in a letter. Your letter may be read by investors, so write every word as if it will be filed.
Sample 2: immediate resignation
Sometimes you have to leave now: health, a family crisis, or a conflict you cannot manage. Keep it shorter, and still offer the handover.

Trustees often have a term and a specific committee. Name both, so the vacancy is clear.

For a company board, keep the letter factual. If you are leaving with no dispute, say so in one sentence, because it matters to the company's filings.

What to send with the letter
- To whom. The chair or secretary, as the bylaws say, with a copy to the executive director on a nonprofit.
- How. Email with a signed PDF attached gives you a dated record. Delaware allows notice "in writing or by electronic transmission".
- Property. List what you are returning: keys, laptop, files, bank signature authority.
- Committees. Resign from each one by name, or the vacancy is unclear.
- Your reason. Optional, and short. Never use the letter to settle an argument.

How do I write a resignation letter to a board of directors?
Address it to the board chair or secretary. In the first sentence, state that you resign from the Board of Directors of the organization and give the effective date. Add a short reason if you want, thank the board, offer to help with the handover, list any committee roles, and sign it.
How much notice should a board member give?
